How Triple 8 acquires mining claims and decides which ones to advance.

The company acquires lode and placer claims across the United States and puts every claim group through the same sequence of review, maintenance, exploration and technical reporting. Capital follows results. Claim groups that do not advance can be dropped, sold or partnered.

Strategy

Acquire, advance, develop, realize

Triple 8 acquires and develops mining claims of every type, lode, placer and more, anywhere in the United States. It intends to build a large portfolio, take claim groups toward production where the results support it, and give owners of undeveloped claims a path to sell or partner.

Acquire
Lode and placer claims across the U.S., by staking, assignment, purchase or partnership with their owners.
Advance
Qualified Person–led work to S-K 1300 Technical Report Summaries.
Develop
Where the results support it, take claim groups toward production, by the company or with operating partners. Owners of undeveloped claims can sell to or partner with the company. For claim owners
Realize
Turn claim groups that prove out into value: production by the company, a joint venture with an operating partner, a sale, or a retained royalty. A potential Nasdaq listing is the planned route to liquidity for shareholders; it is not assured. Investment case

What we acquire

Lode and placer claims, in any state where the ground is open

Under the General Mining Law, a claimant on federal land open to mineral entry can hold four kinds of claims and sites. The company works mainly with the first two.

Federal mining claim and site types
TypeWhat it covers, in plain termsSize limit (federal)Role at Triple 8
Lode claimMinerals held in place in solid rock, such as a quartz vein or a broad zone of mineralized bedrock.Up to 1,500 ft long and 600 ft wideCore claim type
Placer claimDeposits that are not in place in rock, such as gold in stream gravels or other loose sediment.20 acres per locator; association placer up to 160 acres for 8 or more locatorsCore claim type
Mill siteNon-mineral land used to support a mine or a processing operation, such as a mill, plant or other facilities.Up to 5 acresWhere a project needs it
Tunnel siteA tunnel driven to explore for veins not visible from the surface. It gives rights to veins the tunnel discovers.Up to 3,000 ft longWhere a project needs it

Source: Bureau of Land Management, mining claims program (blm.gov). Size limits are federal maximums; a lode claim is measured along the vein, up to 300 ft on each side of it. Claims on federal land are unpatented. The claimant holds the right to explore for and develop locatable minerals, and the land itself remains federal. On private or state land, the company would acquire rights from the mineral owner instead.

What makes a claim group attractive

The company looks at each claim group against the same criteria before it commits capital. No single factor decides. A claim group that fails on title or land status is not pursued, however good the district.

Geology
Rock types, structures or gravels consistent with the deposit type sought, from mapping, prior reports or sampling.
District history
Past exploration and production in the area. History is a reason to look. It is not evidence of mineralization on any particular claim.
Access
Road access, terrain, season, water and distance to services.
Land status
Open to mineral entry, free of withdrawals, and clear of conflicting claims.
Title
A clean chain of title, with location, recording and annual maintenance documented.
Size
Large enough to test properly and small enough to keep current at a reasonable annual cost.
Permitting path
A realistic route through federal, state and local approvals for the work planned.

How we acquire

Six structures the company considers

Each acquisition is structured to fit the ground and the seller. These are structures the company may consider. They are not offers, and none is available on fixed terms.

01

Staking open ground

Locating new claims on federal land open to mineral entry, then recording them with the county and filing with the BLM. Buckingham is being acquired this way.

02

Purchase

Buying existing claims outright from the holder, after title review, for consideration agreed in a written purchase agreement.

03

Option to purchase

A right to buy within a set period, usually with staged payments or work commitments. The company can test the ground before it completes the purchase.

04

Assignment

Taking over an existing holder’s rights or interests by written assignment. Triple 8’s economic interest in gold from the AMI placer claims was assigned to it by Aurum Capital.

05

Joint venture

The claim owner and the company each keep an interest, with the company typically funding and managing the technical work.

06

Retained royalty

A seller can keep a royalty on any future production, alone or alongside one of the structures above.

Terms

Any acquisition is subject to due diligence, including title review, and to a definitive written agreement. The company does not commit to a price, structure or timetable before that work is done. Any consideration paid in company securities would be offered only under an applicable exemption from registration. Claim owners can read how the process works on For Claim Owners.

Development pathway

Six steps, with a decision at the end of each

Every claim group follows this sequence. It moves to the next step only when the evidence from the current one supports it. Open a step for the work, the typical outputs and the decision that ends it.

  1. Review

Geology, history, access, land status and title.

  2. Acquire or stake

Purchase, option, assignment, joint venture or new staking.

  3. Maintain

County recording, BLM filings and annual fees kept current.

  4. Explore

Mapping, sampling and permitted exploratory work.

  5. Report

S-K 1300 technical report summary by a qualified person.

  6. Develop and produce

Toward production where results support it, or partner or sell.

01 · ReviewA desk and field look at a claim group before any commitment.
Work
Review of available geological reports, district history, maps and imagery. Land-status and claim-record searches, including the BLM’s records. A site visit where warranted.
Typical outputs
An internal screening memo, a land-status summary and a preliminary title review.
Decision gate
Proceed to negotiate or stake, or decline. Most claim groups reviewed are expected to stop here.
02 · Acquire or stakeSecure the rights on terms that match what is known about the ground.
Work
For existing claims, due diligence and negotiation of a purchase, option, assignment or joint venture. For open ground, locating and monumenting claims under federal and state rules.
Typical outputs
A definitive agreement or recorded location notices, and a title file for the claim group.
Decision gate
Close only when title review is satisfactory and board approval, where required, is in place. Transactions with related parties are reviewed separately.
03 · MaintainKeep every claim of record and in good standing, every year.
Work
Recording with the county and filing with the BLM after location or transfer. Payment of the annual BLM maintenance fee by September 1, plus any county or state filings.
Typical outputs
A maintenance calendar and a claim register with serial numbers, filing dates and receipts.
Decision gate
Each year, keep, reduce or drop claims according to their results and their cost to hold.
04 · ExplorePermitted fieldwork to find out what the ground contains.
Work
Geological mapping, surface and stream-sediment sampling, and, where permitted, trenching, test pits or drilling. Work is scoped to fit the applicable BLM and state approvals.
Typical outputs
Maps, sample results from an independent laboratory, and data compiled for a qualified person to review.
Decision gate
Commission full technical work, run another program, or stop and consider a sale or partner.
05 · ReportTechnical work under Regulation S-K subpart 1300, signed by a qualified person.
Work
A qualified person reviews the data and, if the evidence supports it, prepares a technical report summary under S-K 1300. The AMI placer position is at this step. Anything Media, Inc. (“AMI”) has engaged Arowe for a phased program toward a resource-stage S-K 1300 Technical Report Summary, and Stage 1 of 5 is underway under an independent Qualified Person.
Typical outputs
A dated, signed technical report summary. It may report exploration results only. Resource estimates require at least an initial assessment.
Decision gate
Advance the claim group, hold it for further work, or seek a partner or buyer. No resource or reserve figure is published before a qualified person signs.
06 · Develop and produceTake claim groups toward production where the results support it, or partner or sell.
Work
Where the results support it, further study toward development and production, by the company or with an operating partner. Otherwise a joint venture, a sale, or another route to value for shareholders and claim partners.
Typical outputs
Feasibility-level studies, permit applications and project financing, or a partnership or sale agreement.
Decision gate
Board decision on the route. The company intends to take claim groups into production where the technical work and economics support it. Any development requires further studies, permits and financing, and may not occur.

Portfolio discipline

Fewer claim groups advance at each gate

A portfolio only works if it is pruned. Capital goes to the claim groups whose results support it. The rest are held at low cost, dropped, sold or partnered.

Prioritization

Claim groups compete for the same capital. The company intends to rank them on technical results, cost to hold, permitting path and the value a partner or buyer might see. A claim group does not keep its budget because it was acquired first.

Claim maintenance

Unpatented claims are recorded with the county and filed with the BLM. Each claim then needs an annual maintenance fee paid to the BLM on or before September 1. A small-miner waiver is available only to claimants holding 10 or fewer claims nationwide, so a portfolio of this size pays the fee on every claim. A claim on which the fee is not paid on time is forfeited by operation of law, so the company tracks maintenance deadlines for every claim group.

Reclamation and permitting

Fieldwork beyond the lightest activity needs a filing or an approval before it starts, and disturbed ground must be reclaimed. Which rules apply depends on land status, the state and the scale of work. The main frameworks for the company’s current states are below.

Permitting and reclamation frameworks
FrameworkApplies toWhat it requires, in summary
BLM surface management (43 CFR 3809) · casual useFederal landActivities that ordinarily cause only negligible disturbance, such as hand tools and hand panning. May include small portable suction dredges. Excludes mechanized earth-moving equipment, truck-mounted drilling, chemicals and explosives. No filing required.
BLM 3809 · noticeFederal landExploration disturbing 5 acres or less. Filed with the BLM at least 15 calendar days before work starts, with a financial guarantee for reclamation in place first. A project cannot be split into a series of notices to avoid a plan.
BLM 3809 · plan of operationsFederal landMining and processing, exploration disturbing more than 5 acres, bulk sampling of 1,000 tons or more, and work beyond casual use in special status areas such as wilderness or critical habitat. Requires BLM approval and a financial guarantee for reclamation.
Nevada reclamation permit (NRS and NAC 519A)Nevada, federal and private landA permit from the Nevada Division of Environmental Protection, Bureau of Mining Regulation and Reclamation, for exploration, mining or milling that disturbs more than 5 acres in a calendar year, with a surety based on the approved reclamation cost. Smaller operations file a state notice form instead. A water pollution control permit may also apply.
California Surface Mining and Reclamation Act (SMARA, 1975)California, federal and non-federal landFor surface mining that disturbs more than 1 acre or moves more than 1,000 cubic yards, an approved reclamation plan and financial assurance before work starts, and usually a county permit. Approved by the local lead agency, usually the county, with oversight by the state Department of Conservation.

Summary only. Each program has exemptions and further conditions, and other federal, state and local permits (for water, air or cultural resources, for example) may apply. The permitting plan for each claim group will be set with counsel and permitting advisers.

Community and landowner relations

The company intends to contact neighbouring landowners, grazing permittees, tribes and local officials before fieldwork begins, to keep access roads and gates as it finds them, and to reclaim disturbed ground as work proceeds. It also intends to tell claim sellers and joint-venture partners what work is planned on their former or shared ground. These commitments are set out in the board’s ESG Policy.

Where we are today

Two assets, two states, two claim types

In Nevada, Triple 8 holds an economic interest in any gold produced from 49 placer claims in Glendale, Clark County, assigned to it by Aurum Capital. It owns four of those claims (AMI 05–08) under the October 2026 purchase agreement and assignments (BLM transfer filing in progress), and does not own the other 45. Anything Media has funded Stage 1 of a phased program by Arowe toward an S-K 1300 technical report, with a working target of February/March 2027. In California, Advanced Geologic is staking up to 86 unpatented lode claims in Mariposa County (the Buckingham claims), located by 999 Mines, LLC, a wholly owned subsidiary, so Triple 8 will hold 100% of them once they are of record; the of-record filing is targeted for early November 2026. An exploratory S-K 1300 report is planned there. The company plans to add claim groups through staking and acquisition as it reviews new ground.
