Private company · Rule 506

How securities are offered

Rule 506(c) offering

Triple 8 Mines, Inc. is a privately held company. Its offering of Series I Convertible Preferred Stock is made under Rule 506(c) of Regulation D, only to accredited investors whose status has been verified, and only by means of its confidential Private Placement Memorandum No. 003, which governs if anything on this website differs. Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security. The securities are speculative, illiquid and restricted, and investors may lose their entire investment. They have not been registered under the Securities Act of 1933 and have not been approved or reviewed by the SEC or any state regulator.

Rule 501(a) of Regulation D defines an accredited investor. At a high level it covers individuals who meet income or net worth tests, individuals holding certain professional certifications in good standing, and entities meeting asset or investment thresholds or whose owners are all accredited investors. The SEC summarizes the definition on its accredited investors page (sec.gov).

Environmental, social and governance

How the company manages ESG matters

The board’s ESG Policy, adopted October 15, 2026, applies to Triple 8 Mines and its subsidiaries through staking, exploration, development and operation. It is meant to meet the reasonable expectations of investors in the United States and abroad, and reporting is proportionate to an exploration-stage company. A summary is below; the full policy is available on request.

Environmental

  • Comply with all applicable laws on mining claims, surface disturbance, water, waste and reclamation.
  • Plan work to avoid unnecessary disturbance and allow timely reclamation.
  • Obtain required permits before work begins, and keep them in good standing.
  • Consider material environmental risks, including climate and water, in project planning.

Social

  • Safe working conditions for employees, contractors and visitors.
  • Transparent, respectful engagement with landowners, local communities and others affected by the work.
  • Hiring and contracting based on qualifications, skills, experience and performance.
  • Compliance with labor and human-rights laws wherever the company operates.

Governance

  • Board oversight of ESG matters, with periodic review of the policy.
  • Directors and officers act within their fiduciary duties.
  • Related-party transactions disclosed to the board and approved under the governing documents and the law.
  • Accurate books and records; compliance with corporate, securities and anti-corruption laws.

Acquisitions & claim maintenance

Controls on every acquisition and every claim held

The company intends to grow by acquiring and staking claims in more than one state. The same controls are intended to apply to each claim group, whatever its size or source. The policy setting them out is in preparation and subject to board adoption.

Acquisitions

Title review
Each acquisition is subject to a review of the chain of title, BLM records and county recordings before a definitive agreement is signed.
Related parties
Any acquisition from an affiliated party is reviewed by directors without an interest in the transaction.
Recording
Transfers and new locations are recorded with the county and filed with the BLM.
Consideration in securities
Any company securities issued to claim sellers would be issued only under an applicable exemption and approved by the board.

Claim maintenance

BLM fees
Unpatented claims on federal land carry an annual BLM maintenance fee, due on or before September 1 each year. For the 2027 assessment year the fee is $200 per lode claim and $200 per 20 acres, or portion, of a placer claim.
Consequence
Under federal law, claims without a timely fee payment or waiver filing are subject to forfeiture.
County filings
County recording requirements differ by state and are tracked for each claim group.
