For prospective investors

Request the offering materials

Investor relations sends the offering materials (the cover letter, the confidential private placement memorandum, the corporate presentation, the subscription agreement and the accredited investor questionnaire) to anyone who asks. Only accredited investors may invest, and each investor’s status is verified before the company accepts any funds.

Offering exemption notice

Rule 506(c) notice

The company’s offering is made under Rule 506(c) of Regulation D. Rule 506(c) allows the company to share its offering materials widely, but every purchaser must be an accredited investor, and the company must take reasonable steps to verify each purchaser’s accredited status before accepting an investment.

Securities are offered only through the offering materials, not through this website. In summary: up to $1,500,000 of Series I Convertible Preferred Stock at $75.00 per share, each convertible into 100 common shares ($0.75 per common share), minimum investment $100,050, opening October 26, 2026. Terms, ownership and use of proceeds. The private placement memorandum governs. Requesting the materials does not commit you to invest, and the company may accept or reject any subscription in whole or in part.

Process

How investing works

You can review everything before deciding. Verification comes when you decide to subscribe, and no funds are accepted until it is complete.

  1. Request the materials

    Use the form below. Investor relations emails you the cover letter, the confidential private placement memorandum, the corporate presentation, the subscription agreement and the accredited investor questionnaire.

  2. Review and ask questions

    Take the time you need. Ask investor relations anything, or arrange a call with the President. Technical and title materials are available on request.

  3. Subscribe and verify

    If you decide to invest, return the signed subscription agreement and questionnaire, and complete accredited investor verification through VerifyInvestor.com.

  4. Acceptance and closing

    Once your status is verified, the company reviews the subscription, accepts it if it is in order, receives your funds and closes. No funds are accepted before verification.

Verification under Rule 506(c) can involve reviewing documents such as tax returns, W-2 forms, bank or brokerage statements, or a written confirmation from a registered broker-dealer, an SEC-registered investment adviser, a licensed attorney or a certified public accountant. Verification is carried out by VerifyInvestor.com, an independent verification service.

Request the materials

Offering materials request

Investor relations will email the materials to the address you give, usually within one business day. Advisers requesting for a client are welcome; choose “Adviser” below. To talk first, call Ron Ause, President, at 850.273.6892. This request is not a subscription for securities and does not commit you to invest.

Accredited investor categories. Under Rule 501(a) of Regulation D, accredited investors include, among others:

  • individuals with income over $200,000, or $300,000 together with a spouse or spousal equivalent, in each of the two most recent years, with a reasonable expectation of the same in the current year;
  • individuals with net worth over $1 million, alone or with a spouse or spousal equivalent, excluding the value of a primary residence;
  • individuals holding a Series 7, 65 or 82 license in good standing;
  • entities with assets or investments over $5 million, entities in which all equity owners are accredited, and regulated institutions such as banks, broker-dealers and registered investment advisers.

This summary is not complete and is not legal advice. The full definition appears in 17 CFR 230.501(a). An investment club that invests through a legal entity is assessed under the entity categories.

Choose the basis you would rely on if you invest. Supporting documents are not requested now; verification takes place only if you subscribe.
