Rights and ownership

The company’s economic interest

Four of the 49 claims (AMI 05–08) and their allocated share of gold, held by Triple 8 Mines, Inc. by assignment from Aurum Capital; the other 45 claims are owned by Anything Media, Inc.

Assignment from Aurum Capital of its October 13, 2026 purchase of four AMI claims (AMI 05–08) from Anything Media, Inc., with their share of gold from the 49 claims.

The 49 claims are to be mined as one operation, rotating across the package (a round-robin plan). The four claims are allocated about 10.4% of the gold produced from all 49 claims, up to a cap based on the measured and indicated resources in the S-K 1300 report (inferred resources do not count). Anything Media holds a 50% net-profits royalty on that share, paid once costs are recovered, so Triple 8’s net share works out to about 5.2%. The cap is set by the measured and indicated resources in the AMI S-K 1300 report; inferred resources do not count. The current program is designed to support, at most, an inferred resource, so even a successful first report may leave the cap undefined or at zero, and further work would be needed before Triple 8’s share has value. Anything Media has funded Stage 1 of the S-K 1300 program and authorizes each later stage at its discretion; the company repays that cost, up to $1.25 million, only if it keeps the claims after the report, and may return them if the report does not support a mine. The accounting value will be set in the company’s first audit. Full terms are in the data room.

These terms describe the company’s contractual share of gold if gold is defined and mined. They are not an estimate of mineral resources or of the amount of gold that may be produced.

Anything Media engaged Arowe for the technical program, has funded Stage 1 and authorizes each later stage at its discretion. Triple 8 Mines’ share of that cost arises only if the claims are kept after the report, as described above.

About placer claimsWhat a placer is and how placer exploration typically proceeds

A placer is a mineral deposit in which grains of a heavy, durable mineral such as gold are mixed with sand and gravel deposited by a river or glacier. The mineral is weathered from its source rock, carried by water and concentrated where the flow slows. Under federal mining law, placer claims cover deposits that are not subject to lode claims. An individual placer claim may be up to 20 acres.

Placer exploration typically moves from surface work to larger samples:

  • Test pits and trenches expose the gravel profile and the depth to bedrock.
  • Drilling, such as auger, sonic or reverse-circulation methods, tests gravels at depth and across the deposit.
  • Bulk sampling processes larger volumes to check results and inform recovery methods.

Gold in placer gravels is often distributed very unevenly, which makes representative sampling difficult. This general description does not describe results on the AMI · Glendale placer project claims.

Claim maintenanceAnnual federal filings that keep unpatented claims in good standing

Unpatented mining claims on federal land must be maintained every year. The claimant pays an annual maintenance fee to the Bureau of Land Management on or before September 1. A claimant that holds 10 or fewer claims and sites nationwide may instead qualify for a small miner waiver, which requires at least $100 of assessment work on each claim each year.

For the 2027 assessment year, with filings due September 1, 2026, the BLM maintenance fee is $200 for each 20 acres or portion of a placer claim. Newly located claims also carry a location fee and a processing fee when recorded. Missing a required filing can result in forfeiture of the claim. Counties may have their own recording requirements.

Responsibility for maintenance filings: Anything Media, Inc., as claimant of record. Under the agreement, the holder of AMI 05–08 takes over maintenance of those four claims after closing. Current filing status: All 49 claims Active. Maintenance fees accepted each year from 2023 through July 29, 2026; next payment due September 1, 2027 (BLM serial register run October 6, 2026).
